Unless otherwise negotiated, OPTICAL ZONU CORP. (OZC) warrants to Customer, for a period of one (1) year from the date of shipment, that the Products, as shipped to Customer, will be free from defects in material, workmanship, labeling and packaging. Customer must report in writing any breach of the foregoing warranty to OZC during the warranty period. Customer’s sole remedy and OZC’s exclusive liability for breach of the warranty shall be that OZC will, at its option, repair or replace the defective Product, or component parts thereof manufactured by OZC, free of charge, or, if repair or replacement is not commercially practicable, OZC will refund the purchase price paid for such Product.
THE WARRANTIES SET FORTH HERE ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THIS WARRANTY EXTENDS TO CUSTOMER ONLY AND NOT TO CUSTOMER’S END USERS OR PURCHASERS OF CUSTOMER’S PRODUCTS. Customer warrants that the Products obtained under this Agreement are for commercial purposes only.
